provide solutions to answer the sensitive questions of ownership
and certification as well as the more obvious ones of purpose and
payload, operational support and maintenance, and range and frequency

Loudoun Aviation has successfully bought new and used aircraft
for its clients and played the part of the bad guy in terms of squeezing
the best possible purchase price and options on its clients
behalf. Once the decision is made to acquire an aircraft we will
implement the following steps:
Analyze budget and Performance Requirements
- Having decided that a business aircraft is needed, key questions
which must be addressed are acquisition budget, operational budget
and the aircrafts performance capabilities. Loudoun
Aviation will draw on its dedicated corporate aviation experience,
industry knowledge and its software programs to help guide you to
the right aircraft or selection of potential aircraft.
We will then present you with what we believe would be the best
options for your consideration, from a manufacturer and model standpoint.
Locating the Best Aircraft -
Loudoun Aviation subscribes to Jetnet, the multiple listing service
of the corporate jet sales environment, updated daily, and uses
this service, honed with its own in-house database of owners, industry
magazines and web sites to identify all available aircraft from
the selection which best fits your requirements. In the case
of helicopters we subscribe to Airtrack, a comprehensive database
of helicopter owners. Furthermore, we will contact all owners
worldwide to unearth any unadvertised aircraft that are "quietly"
for sale or may be coming to the market in the near future.
Initially, these are presented to you in an easy to read table form
which allows you to compare side by side the advantages and disadvantages
of one over the other. Subsequently, detailed specifications,
photographs and maintenance histories are compiled in a shortlist
of aircraft for you to review and consider.
Letter of Intent/Deposit - Once
the ideal aircraft has been selected, we discuss with you how best
to open negotiations with the seller from a price viewpoint, and
draw up an Offer To Purchase, or Letter of Intent. Our library
of offers allows us to enter negotiations with your very best interests
in mind, while demonstrating to the seller that we/you are serious.
This letter, while not being the formal contract, does set out the
buyers terms and conditions which, if agreed to by the seller,
form the basis of the deal, including of course the price you are
prepared to pay, the deposit you are prepared to lodge into your
nominated escrow account, at what point that deposit becomes non
refundable (subject to the terms of the final contract being fully
met by the seller) and what specific conditions you wish to impose
as contractual parts of the transaction.
Showing - All buyers have their
own preferences as to who should be present at aircraft viewings,
some preferring to go themselves, others send their pilot and/or
mechanic and still others want their agent to professionally inspect
each aircraft they are considering. Often, we can maximize
your time by carrying out the initial viewing ourselves as your
representative, spending a substantial amount of time painstakingly
scouring over every part of the airplane in order to give you a
summary of its good and bad points, so that you will be able to
go straight to the areas you feel should be looked at when you inspect
it for the first time.
Purchase & Sale Agreement
- Once the right aircraft has been found, and an agreement has been
reached in principle between you and the seller on price and conditions,
one of the most important parts of the transaction as a whole must
be approached with great care and attention, the contract, or Purchase
& Sale Agreement. This is the skeleton of the deal, without
which there would be no deal at all. Loudoun Aviation has
fine tuned its industry leading contracts which can be tailored
to meet the specifics of each deal. We know the contractual
side of aircraft selling and buying well, and will make sure that
your financial interests are secure throughout. However, many
buyers understandably require that their own attorneys either review
or initiate the contract documentation, and in this regard, we are
completely flexible to your wishes.
Pre Purchase Inspection - We
do not recommend that you spend any money on a pre purchase inspection
until such time as the Purchase & Sale Agreement has been executed
by you and the seller. Once that has been accomplished, we
work fastidiously to assist you in selecting the most appropriate
inspection facility for this phase of the purchase, a facility which
will be impartial, top grade in its given area and punctual.
We ensure that the facility fully understands that it is obligated
to you to find any airworthiness discrepancies which the aircraft
may have, and that it retains all information in absolute confidence
between themselves and you/us.
Closing - We will make all the
arrangements for closing on your behalf, while keeping you fully
apprised of the closing schedule. These arrangements include
advising you when your purchase funds need to be available in escrow,
arranging and submitting to escrow all closing documentation such
as bills of sale, registration applications, etc. It is very
important also to position the aircraft in the most beneficial state
just before closing to avoid paying any unnecessary sales or use
taxes, another key area where we will advise and seek professional
advice. |
